Terms of Service

Welcome to Budget Genius. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Budget Genius LLC ("Company," "we," "us," or "our") governing your access to and use of the Budget Genius application, website, and related services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY USING THE SERVICE, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS.

Age Requirement: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

Business Use: The Service is intended for business use by service-based companies, contractors, and trade professionals. By using the Service, you represent that you have the authority to bind the business entity you represent.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

The Service may integrate with third-party applications and services, including but not limited to QuickBooks, ServiceTitan, Jobber, Housecall Pro, and AccuLynx ("Third-Party Services"). Your use of Third-Party Services is subject to the terms and conditions of those services.

QuickBooks Integration: If you choose to connect your QuickBooks account, you authorize us to access and sync your financial data in accordance with our Privacy Policy. You remain solely responsible for the accuracy of your QuickBooks data and compliance with Intuit's terms of service.

Data Access: By connecting Third-Party Services, you grant us permission to access, retrieve, and process data from those services as necessary to provide the Service. You may disconnect Third-Party Services at any time through your account settings.

Disclaimer: We are not responsible for the availability, accuracy, or reliability of Third-Party Services. We do not endorse and are not liable for any content, products, or services available through Third-Party Services.

Your Data: You retain all rights to the data you input into the Service ("User Data"). You grant us a limited license to use, store, and process User Data solely to provide and improve the Service.

Data Security: We implement industry-standard security measures to protect User Data. However, no method of transmission over the Internet is 100% secure. You acknowledge and accept the inherent risks of data transmission.

Data Retention: We retain User Data for as long as your account is active or as needed to provide the Service. Upon account termination, we will delete or anonymize User Data within 90 days, except as required by law.

Backup Responsibility: While we maintain backups, you are responsible for maintaining your own copies of important data. We are not liable for any loss of User Data.

Subscription Fees: Certain features of the Service require payment of subscription fees. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

Billing Cycle: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. Your subscription will automatically renew unless cancelled before the renewal date.

Price Changes: We reserve the right to change subscription fees upon 30 days' notice. Price changes will not affect the current billing cycle but will apply to subsequent renewals.

Refunds: Subscription fees are generally non-refundable. However, we may provide refunds at our sole discretion on a case-by-case basis.

Disclaimer of Warranties: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BUDGET GENIUS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Maximum Liability: OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Financial Decisions: The Service provides tools for budgeting and financial planning but does not constitute financial, legal, tax, or accounting advice. You are solely responsible for your financial decisions and should consult qualified professionals for advice.

By You: You may terminate your account at any time by contacting us or through your account settings. Termination does not entitle you to any refund of prepaid fees.

By Us: We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, non-payment, or fraudulent activity.

Effect of Termination: Upon termination, your right to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Budget Genius LLC regarding the Service.

Severability: If any provision of these Terms is held to be unenforceable, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
